Brookfield Revises Hostile Offer in Inter Pipeline Battle

Brookfield Infrastructure Partners LP revised the terms of its hostile takeover offer for Canada's Inter Pipeline Ltd., giving all shareholders the option to take cash.

Inter Pipeline investors can elect to take cash at C$19.50 per share or receive Brookfield Infrastructure Corp.stock for a valuation of C$19.99, the Toronto-based firm said Friday. Brookfield will raise its offer for the shares it doesn't already own to C$20.40, valuing the whole of Inter Pipeline at as much as C$8.8 billion ($7.1 billion), pending the outcome of a decision by regulators on the size of the break fee associated with Pembina Pipeline Corp.'s rival offer. In February, Brookfield said it already owned about 19.6% of Inter Pipeline.

Brookfield's sweetened terms for Canada's fourth-largest pipeline company are the latest twist in a battle that extends back to February, when the affiliate of private equity giant Brookfield Asset Management Inc. made a C$16.50-a-share bid that was rejected by Inter Pipeline's board. Brookfield first increased its offer a day after Pembina's deal to buy Inter Pipeline was announced on June 1, valuing the target at C$19.45 a share.

Brookfield's “offer provides investors a clean exit and quicker closing, whereas the Pembina proposal provides ownership in a strategic merger targeting an extensive growth platform,” Tudor, Pickering, Holt & Co. analyst Matthew Taylor said in a note.

The battle for the Canadian midstream company follows years of failed attempts to build major projects like TC Energy Corp.'s Keystone XL and Enbridge Inc.'s Energy East, potentially making existing pipelines more valuable. Inter Pipeline owns pipe infrastructure across Western Canada, connecting oil and natural gas producers with domestic and foreign customers.

“The logic of the Pembina IPL combination is clear and we look forward to continuing our process to close the transaction,” Calgary-based Pembina said in an emailed statement.

Inter Pipeline, also based in Calgary, said it's reviewing the Brookfield offer and “will provide our comments in due course.”

Shares of Inter Pipeline fell 0.5% to C$20.30 at 12:29 p.m. in Toronto. Brookfield Infrastructure and Pembina were both up by about 0.2%.

Last week filed a challenge with the Alberta Securities Commission to a C$350 million break fee tied to the Pembina offer. A hearing on the matter is scheduled for July 7.
