Infosys Ltd. announced on Thursday definitive agreements for the acquisition of Texas-based MRE Consulting Ltd. and Australian cybersecurity firm the Missing Link for over Rs 800 crore.
Subsidiary Infosys Nova Holdings LLC will purchase MRE Consulting for $36 million or Rs 307.5 crore, including upfront and earnouts and excluding management incentives and retention bonus. The deal is expected to close during the quarter ending June 30, subject to customary closing conditions, according to an exchange filing.
Founded in 1994, MRE Consulting provides technology and business consulting services to the energy, resources and utilities industries. The firm specialises in business advisory and digital transformation for energy/commodity trading and risk management.
The company made a revenue of $63.5 million in financial year 2024.
"By combining MRE Consulting's deep E/CTRM capabilities with Infosys' established leadership in the energy, resources and utilities sector, we are further enhancing our ability to drive value for our clients in this critical area of their business," said Ashiss Dash, global head of services, utilities, resources, energy and sustainability at Infosys.
Infosys Singapore Pte will acquire the Missing Link for A$98 million or Rs 533.7 crore. The transaction is expected to be completed by the first quarter of this year. The IT major said it received approval from Australia's Foreign Investment Review Board in February and no other regulatory approval is required.
The Missing Link reported a revenue of A$43.2 million in fiscal 2024. The cybersecurity services specialist firm has capabilities across the full stack of cyber solutions, according to a statement.
"The Missing Link brings to Infosys, a group of highly skilled cybersecurity professionals consisting of Red Team, Blue Team, and a state-of-the-art Global Security Operations Centre, adding to the network of Infosys' global cyber defence centres," the Infosys statement said.
