Gemini Edibles & Fats India Ltd, the company that makes the well-known Freedom Oils brand, submitted its draft red herring prospectus to the Securities and Exchange Board of India for a proposed initial public offering.

The company will not raise any further funds because the public offering is fully structured as an offer for sale of up to 4.11 crore equity shares by current shareholders

Gemini Edibles & Fats is a Hyderabad-based company that trades, processes, produces, and markets edible oils and specialty fats. Additionally, the company is growing into convenience foods and spices.

First Klass, Be-Rite, and Freedom are consumer brands owned by Gemini Edibles & Fats. In important areas, the corporation has over 60 warehouses and stock hubs, 300,000 retail locations, and more than 1,600 distributors.

GEF reported operating revenue of ₹12,650 crore and earnings before interest, taxes, depreciation, and amortisation of roughly ₹794 crore for the fiscal year 2025–2026.

Between FY20 and FY25, the company's branded revenue increased at a compound annual growth rate of 20.5%, while the market for branded edible oil as a whole grew at a rate of 10.1%.

Alka Chowdhry, Golden Agri International Enterprises Pte. Ltd., Black River Food 2 Pte. Ltd., and Investment and Commercial Enterprise Pte. Ltd. are the shareholders who are selling.

Black River Food 2 will offer up to 3.09 crore shares, followed by Investment and Commercial Enterprise with up to 61.73 lakh shares, and Alka Chowdhry and Golden Agri International Enterprises with up to 20.58 lakh shares.

Gemini Edibles & Fats operates in four business verticals: bulk merchandising, industrial consumer, branded retail consumer, and convenience foods and spices. In addition to producing and selling speciality fats, its edible oil portfolio comprises sunflower, rice bran, mustard, peanut, soybean, and palm oils. The business just entered the convenience food and spice markets.

The company operates a packaging factory in Cuttack, Odisha, and three refineries in Andhra Pradesh: two in Kakinada and one in Krishnapatnam. As of March 31, 2026, its distribution network reached retail locations in more than 1,000 cities and towns through 62 warehouses and over 1,600 distributors and wholesalers. Its spice company comprised two sales facilities, 270 distributors, and a presence in about 370 localities.
